The transaction involved the cross-border acquisition of a controlling stake from a group of founder-shareholders and angel investors, aimed at accelerating the target company’s international expansion and institutionalising its governance and capital structure. The acquisition was structured through a combination of share purchase and management rollover arrangements, with bespoke earn-out provisions and equity incentive mechanisms designed to align post-closing performance with consideration uplifts. The deal framework also allows for future capital injections and includes a restructured governance model with enhanced investor protections.

The firm acted as the local legal counsel on all Cyprus law aspects of the acquisition, including transaction structuring, legal due diligence, agreement negotiation, and regulatory coordination.
